Please read these Terms of Service ("Terms") carefully before purchasing the EmpowerFBA Setup Service. By purchasing, accessing, or using this service, you (“Client,” “You,” or “Your”) agree to be bound by these Terms, which constitute a legally binding agreement between you and Ecom Empower Holdings LLC d/b/a EmpowerFBA ("EmpowerFBA," “Company,” “We,” “Us,” or “Our”).

1. Scope of Setup Service
The EmpowerFBA Setup Service (“Setup Service”) is a one-time service designed solely to assist clients in preparing their Amazon seller accounts for operations under a wholesale resale model. Depending on the service package selected, the Setup Service includes some or all of the following:
Assistance with brand ungating for pre-selected, authorized brands;
Integration with third-party shipping and fulfillment software, such as ShipStation;
Uploading and listing of products on your Amazon seller account, based on inventory and package tier purchased.
No other services are included unless expressly stated in writing. The Setup Service does not include ongoing account management, pay-per-click (PPC) advertising, marketing services, customer support, refund handling, or inventory guarantees. These services are offered separately under our Account Management program, which includes dedicated support and ongoing operational oversight. Enrollment in the Setup Service does not entitle you to any services provided under the Account Management package unless explicitly purchased or agreed to in writing.
2. Disclaimer of Earnings and Results
EmpowerFBA makes no representations, warranties, or guarantees, express or implied, regarding the outcome, profitability, or success of your Amazon business. Purchasing this Setup Service does not guarantee sales, income, or results of any kind.
The performance of your Amazon business depends on various factors beyond our control, including but not limited to market conditions, Amazon’s algorithm changes, compliance with Amazon policies, inventory availability, and your active participation in managing your account.
In compliance with FTC guidelines, any testimonials, case studies, or success stories referenced by EmpowerFBA are not promises of future performance and should not be interpreted as typical or guaranteed results.
3. Client Responsibilities
You agree to:
Provide accurate and timely information necessary for the completion of the setup;
Maintain compliance with Amazon's Seller Policies and Terms of Use;
Obtain and maintain an active Amazon Seller account in good standing;
Fund your own inventory purchases and account expenses, as these are not included in the Setup Service;
Promptly respond to requests for access or documentation needed to complete setup.
Failure to fulfill these responsibilities may result in delays or an inability to complete the Setup Service, for which EmpowerFBA bears no liability.
4. Limitation of Liability
To the maximum extent permitted by law, EmpowerFBA, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or related to the use of or inability to use the Setup Service.
EmpowerFBA’s total liability under this agreement shall not exceed the amount you paid for the Setup Service.
5. No Refund Policy
Due to the digital nature of the service and the allocation of time and resources upon onboarding, all sales are final, and no refunds will be issued, unless otherwise required by applicable law.
6. Intellectual Property
All materials, processes, and content provided by EmpowerFBA during the course of the Setup Service remain the property of EmpowerFBA and may not be reproduced, resold, or redistributed without our prior written consent.
7. Amendments and Termination
We reserve the right to update or modify these Terms at any time. Updates will be posted to our website, and continued use of our services after changes are posted constitutes your acceptance of the new Terms.
We may refuse or terminate service to any client at our sole discretion, including for non-compliance, abusive behavior, or suspected fraudulent activity.
8. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of laws principles. Any disputes arising from or related to these Terms shall be resolved through binding arbitration in Delaware, unless otherwise required by law.
9. Acknowledgment
By purchasing the EmpowerFBA Setup Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. You also agree that you are legally authorized to enter into this agreement and that all information provided is true and comp
